TERMS AND CONDITIONS FOR MEMBERSHIP

This is a Membership Agreement between Dragonicum.com and your company, which explains our mutual obligations. This agreement will become effective when the registration and authentification processes are finalized, and after Dragonicum have received confirmation for payment of your membership fee. Thereafter, your Company Profile will be activized in Dragonicum.com.

1. DEFINITION

As used in these terms and conditions, the following terms have the following meaning respectively. Words given in the "singularis" sense may also be constructed in their "pluralis" sense or vice versa if the context so requires. "We" or "us" or "ours", mean MCF Consultancy, Broking and Trade d.o.o, the legal owner of Dragonicum.com. "You" and "users" mean you/your company who wish to be a member of Dragonicum.com, and any individual or business entity who are using this site.

2. USERS

Our service is provided to companies and individuals who can form legally binding contracts under applicable law. If you do not qualify, please do not use the service. We are obligated to advise you that any user, during accessing our site(s), must behave under related law. But we are not responsible for the consequences caused by your behaviour during using process of Dragonicum.com. We may, in its sole discretion, refuse the service to anyone at any time.

3. TRUST PASS - AUTHENTIFICATION AND VERIFICATION

All requests sent to Dragonicum.com by email that requires answers from us, will due to security automatically be tested to verify that the email address you use if authentic.

All applications for Dragonicum Membership, as well as for User Registration, will pass through an authentification and verification process, starting with automatically verifying that the email address is correct.

What does Authentification and Verification mean?

1. Authentification – does the company exist?
Dragonicum.com will check if the company is legally registered, and that business address and contact information operates on a daily basis.

2. Verification – is the person employed or associated with the company?
Dragonicum. com will check if the contact person is registered, employed or associated with the company.

4. REGISTRATION AND OBLIGATIONS

By registration in Dragonicum.com you agree to:

provide us with true, complete and current information about yourself and the company you represent
provide us with this information only on the site sections and fields where we ask especially for it
maintain and promptly notify us for updating of the registration formula and company profile, in order to keep it true, complete, accurate and current. If Dragonicum.com (by MCF Consuktancy, Broking and Trade) has reasons to suspect that such information is untrue, incomplete, inaccurate and not current, we reserve us the right to suspend or terminate your membership.

5. PASSWORD, USERNAME, AND SECURITY

When you fill out the registration form for applying membership, you will be given opportunity to choose your password and username for log-in to the Member`s Area. The password and username you choose will be confidential and always unknown to us. You are solely responsible for maintaining the confidentiality of your password and username, and are fully responsible for all activities that occur under your Member ID and password.

You agree immediately to notify us of any unauthorized use of your password or any breach of security, and ensure us that you properly exit the website by use of "sign out" at the end of each session.

We are not liable for any loss or damage arising from your failure to comply with this agreement.

6. CONTENT

The material; information about trade offers, company profiles, companies presented in the portal, is without warranties. Information given to us may be inaccurate, out of date or incomplete - however, we will do our best to follow up - but we cannot check and control the content of any information, services or products that may appear. Therefore, we will under no circumstances be liable for ommissions or any errors in any information in the portal or for any loss or damage of any kind that has incurred as a result of the use of information given in the portal.

Each User hereby represents, warrants and agrees that it has obtained all necessary third party copyright, trademark trade secret or patent licenses and permissions, or such other licenses or permissions as may be required in connection with any other personal or proprietary rights of any third party (including but not limited to rights of personality and rights of privacy), for any material or information it posts on the Site or provides to MCF or authorizes the trade portal www.dragonicum.com to display. Third party copyrights, trademarks, trade secret rights, patents and other personal or proprietary rights affecting or relating to material or information displayed on the Site, including but not limited to rights of personality and rights of privacy, or affecting or relating to products that are offered or displayed on the Site, are hereafter referred to as "Third Party Rights."

Each User hereby represents, warrants and agrees that it shall be solely responsible for ensuring that any material or information it posts on the Site or provides to MCF or authorizes www.dragonicum.com to display does not, and that the products represented thereby do not, violate any Third Party Rights, or is posted with the permission of the owner(s) of such rights.

Each User hereby represents, warrants and agrees that it has the right to manufacture, offer, sell, import and distribute the products it offers and displays on the Site, and that such manufacture, offer, sale, importation and/or distribution of those products violates no Third Party Rights.

Each user hereby represents, warrants and agrees that the information submitted to Dragonicum.com for display in the trade portal shall not:

violate any applicable law, status, ordinance or regulation (incl. limitations of governing exports control, consumer protection, unfair competition, anti-discrimination and false advertising)
relate to sale of products and services that infringe or otherwise encourage or abet the infringement or violation of any third party`s copyright, patent, trademarks, trade secrets or other proprietary right or rights of publicity or privacy
contain fraudulent information or make fraudulent offers of items or involve the sale or attempted sale of counterfeit or stolen items or items whose sales and/or marketing is prohibited by applicable law, or otherwise promote other illiegal activities
be part of a scheme to defraud other Users of the Site or for any other unlawful purpose
be defamatory, libelous, unlawfully threatening or unlawfully harassing;
be obscene or contain or infer any pornography or sex-related merchandising or any other content or otherwise promote sexually explicit materials or is otherwise harmful to minors
contain any material that constitutes unauthorized advertising or harassment, (including, but not limited to spamming), invades anyone`s privacy or encourages conduct that would constitute a criminal offence, give rise to civil liability, or otherwise violate any law or regulations
contain any computer viruses or other destructive devices and codes that can have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information
link directly or indirectly to or include descriptions of goods, services or companies that are prohibited under this Agreement
otherwise create any liability for MCF, the trade portal Dragonicum.com or its partners/affiliates.

7. LINKS

Our site(s) contains links to other web sites. Since we provide those sites as a convenience to our users and do not control them, we will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on such third party sites.

8. CHARGES AND FREE SERVICES

Membership fee: Euro 300

The price for registration of your membership in Dragonicum.com is much lower than in other trade global portals. After registration, you have become a member for as long as you want. There will be no monthly or annual membership fee after paying the "entrance ticket" to Dragonicum. Please note; a maintenance fee of 60€ is under consideration - but not yet decided.

Dragonicum members benefit discount on all Premium Services.

Advertising on Front Page and Industry Pages, when you want your Internet marketing and online marketing activities to be more successful
Marketing Assistance
Translations; for being well prepared when entering a new market, we offer you English-Chinese translations of business cards, documents, brochures and websites
Web Design & Development

All fees and performed services are non-refundable. We reserve the right to modify the charging clause and we will notify you of the changed clause immediately. Please note that you are responsible for paying all applicable taxes and duties and for all hardware, software, service and other costs you incur to trade or access our servers.

We reserve the right to change or discontinue, temporarily or permanently, some or all of the service at any time without notice.

9. NO ELECTRONIC CREDIT CARD PAYMENT SYSTEM

Dragonicum have decided not to use any electronic credit card payment system. Although there are many benefits to this digital payment system, there are also many significant disadvantages. These disadvantages include fraud, credit card testing, fraud detection software, failure of technology, possible tracking of individuals and loss of human interaction.

Fraud over digital cash has been a pressing issue in recent years. Hacking into bank accounts and illegal retrieval of banking records has led to a widespread Invasion of Privacy and has promoted Identity Theft.

There is never any guarantee that today's technology or procedures can eliminate all of the risks of theft, loss or miss-use. There is also today a pressing issue regarding the technology involved in digital cash. Power failures, loss of records and undependable software often cause a major setback in promoting the technology.We have made this decision to protect our Users and Members, minimize the risks of hacking, identity theft and payment fraud, and to enhance your awareness.

10. TERMINATION

We reserve the right to terminate your member service at any time or for any reason, with or without notice. Once your member service is terminated you agree not to post a message on our site(s), or to assist or cause another person to post a messages on your behalf. Members can elect to terminate their membership with us at any time, by sending email from his/her registered email including e-mail address and password.

11. LIMITATION OF LIABILITY

IN NO EVENT SHALL WE OR OUR AGENTS, SUPPLIERS, AND SUBCONTRACTORS BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (HOWEVER ARISING, INCLUDING NEGLIGENCE) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT. OUR LIABILITY, AND THE LIABILITY OF OUR AGENTS, SUPPLIERS, AND SUBCONTRACTORS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO.

12. GOVERNING LAW AND DISPUTE RESOLUTIONS

The validity, performance, construction and effect of this terms and condition shall be governed exclusively by the Laws of Slovenia without recourse to any principles of conflict of laws.

In case of any controversy, dispute, claim, or similar matter arising out of, resulting from, or in connection with this terms and conditions or a breach hereof, the parties shall seek to resolve the matter amicably through discussions between themselves. Should such efforts be unavailing, and the parties fail to resolve such case, controversy, dispute, claim, or similar matter within sixty (60) days, the parties shall resolve such dispute through arbitration in Slovenia, in accordance with the Commercial Arbitration Rules of Slovenia. The arbitration shall be conducted in English and / or Slovene and the decision rendered therein shall be final and binding upon the parties.

We (MCF Consultancy, Broking and Trade, the trade portal Dragonicum.com) will not interfere or become involved in any transactions between members. All transactions between members will be the responsibility of the involved members only.

13. NOTICES

All notices or demands to or upon MCF Consultancy, Broking and Trade, the trade portal Dragonicum.com, shall be effective if in writing and shall be duly made when sent to MCF Consultancy, Broking and Trade in the following manner: to the address of MCF Consultancy, Broking and Trade, Kozinova 26, SI-6320 Lucija, Slovenia.

All notices or demands to or upon a User shall be effective if either delivered personally, sent by courier, certified mail, by facsimile or email to the last-known correspondence, fax or email address provided by the User to MCF Consultancy, Broking and Trade, the trade portal Dragonicum.com
